These Subscription Terms (the “Terms”) govern your purchase, activation, renewal, cancellation, and use of paid Glim plans. By starting a trial, purchasing, or renewing any paid plan, you agree to these Terms, which supplement the Glim Terms of Service (“ToS”) and Privacy Policy. If these Terms conflict with the ToS on subscription-specific matters, these Terms prevail; otherwise, the ToS applies.

1. Overview & Acceptance

These Terms apply to any paid plan you start, purchase, or renew. They are part of the ToS and incorporate the Privacy Policy by reference. Undefined capitalized terms have the meanings in the ToS.

2. Plans, Trials & Eligibility

  • Plans: We may offer multiple plans (e.g., monthly/annual; feature tiers). Plan details and pricing are shown in-app.
  • Free Trial: New subscribers may receive a one-time, full-featured trial as shown in-app. We may limit trials per person, payment instrument, household, or device set to prevent abuse.
  • Eligibility: You must be the lawful account holder with the right to purchase. We may deny or revoke eligibility for suspected misuse or fraud.

3. Billing, Auto-Renewal & Taxes

  • App-store billing: Purchases made via Apple App Store or Google Play are billed and managed under the relevant store’s terms and privacy policies. Glim does not directly charge or refund app-store purchases.
  • Auto-renewal: Subscriptions renew automatically at the end of each term unless you cancel before the renewal date in your app-store account settings.
  • Taxes & fees: Displayed prices may exclude VAT/GST or other taxes. Where applicable, taxes are added and itemized by the platform per its rules and your billing locale.
  • Billing descriptor: Charges appear under the relevant platform’s descriptor (Apple/Google). If website checkout is introduced in the future, the descriptor may show “NETAI LTD.” or similar.

4. Managing Your Subscription

  • Apple (iOS/macOS): Manage or cancel in Settings > [Your Name] > Subscriptions or in App Store account settings.
  • Google (Android): Manage or cancel in Google Play > Payments & subscriptions > Subscriptions.
  • Website checkout (if introduced): A self-serve portal may be provided; otherwise contact support@glim.cc.

5. Cancellation

You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then. To avoid being charged after a free trial, cancel before the trial ends.

Important: Deleting your Glim account or uninstalling the app does not cancel an app-store subscription. You must cancel in the store account you used to purchase.

6. Refunds

  • General: To the maximum extent permitted by law, once your payment method is charged, payments are non-refundable and not prorated for partial periods. Nothing in these Terms limits any non-waivable consumer rights you may have under applicable law.
  • Apple/Google purchases: Refunds (if any) are handled exclusively under the respective store’s policies and processes.

7. Upgrades, Downgrades & Price Changes

  • Plan changes: App-store rules govern effective dates and proration for changes; typically they apply at the next billing cycle.
  • Price changes: We or the app stores may change plan prices. Changes usually take effect upon your next renewal and may be notified by the store per its practices. If you do not agree, cancel before renewal.

8. Promotions, Coupons & Gift Codes

Promotions may be time-limited and subject to additional terms (e.g., eligibility, region, device limits). We may suspend or revoke promotions for abuse (e.g., multiple account creation, resale). Due to app-store rules, certain rewards or credits may not apply to app-store purchases.

9. Device Limits, Fair Use & Non-Transferability

  • Device limits: Personal, non-commercial use on up to five (5) devices per account (as shown in-app).
  • Fair use: We may measure aggregate bandwidth totals per account to prevent abuse and preserve network quality. We do not inspect the contents of traffic or destinations. See the Privacy Policy for details.
  • Non-transferability: Subscriptions are non-transferable and may not be shared, resold, or assigned.

10. Non-Payment & Chargebacks

If a payment fails or a chargeback occurs (where applicable), access to paid features may be suspended. We may terminate subscriptions for repeated non-payment or suspected fraud. For app-store purchases, platform rules apply.

11. Suspension, Termination & Changes to Terms

  • Suspension/termination: We may suspend or terminate subscriptions for violations of these Terms or the ToS, fraud, abuse, or as required by law.
  • Changes to Terms: We may update these Terms; material changes will be notified by reasonable means before taking effect. Continued use after changes become effective constitutes acceptance.

12. Governing Law & Disputes

These Terms are governed by the laws of the British Virgin Islands (BVI), without regard to conflict-of-law rules.

Arbitration; Class Action Waiver; Carve-Outs. If a dispute cannot be resolved informally, you and NetAI LTD. agree to final and binding arbitration administered by the British Virgin Islands International Arbitration Centre (BVI IAC) under its rules, seated in Road Town, Tortola, BVI, unless we agree otherwise. YOU AND NETAI LTD. WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION, to the extent permitted by law. This clause does not prevent you from bringing a claim in a competent small-claims court where permitted. Consumer-law carve-out: If mandatory consumer protection law in your jurisdiction requires a different forum or prohibits arbitration for certain claims, those requirements prevail. Opt-out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@glim.cc with your account email and a clear statement that you opt out.
